Agreement Overview
This document outlines the Terms and Conditions (“Terms”) that govern the use of the PDF Filey installer and accompanying software/extension (collectively, “Product” and “Software”). By using the Product and installing the Software, you (“User”) agree to these legally binding Terms established by us (“Company”).
User Acceptance
By accessing and using the Product and Software, you acknowledge that you have read, understood, and agree to abide by these Terms. If you disagree with any part of these Terms, you must not use the Product or Software and should uninstall any installed Software immediately.
Product and Services
The PDF Filey installer is designed to facilitate the installation and optimization of specific Software, including desktop applications, browser extensions, and other technological tools. By clicking the download button, you consent to the installation of our search engine as part of the Software. During installation, a secondary affiliate offer may be presented, which you can accept or decline. Note that the search engine installation is not optional.
Installation and Use
- Permission: You grant explicit consent for the installation of the Software and any additional components necessary for its operation.
- Modification: The Software may alter your browser’s search settings, new tab preferences, and other features.
- Stopping Installation: You may stop the installation using the designated button, though certain stages may prevent this action. Stopping the installation improperly may cause damage to your device, for which we are not responsible.
- Residual Data: Interrupted installations may leave residual data, which you can manually remove.
License Grant
We grant you a limited, non-transferable, non-sublicensable, and revocable license to use the Product and install the Software for personal, non-commercial use, provided you comply with these Terms. All intellectual property rights in the Product and Software remain with us or our licensors.
Third-Party Content
The Product and Software may include links to third-party services and content. We do not endorse or assume responsibility for third-party content and recommend that you review their terms and policies. We are not liable for any issues arising from the use of third-party services.
User Representations and Restrictions
By using the Product and Software, you represent and warrant that:
- You have the legal capacity to enter into these Terms.
- You will comply with all applicable laws and regulations.
- You will not engage in unauthorized actions such as copying, modifying, or reverse engineering the Software.
Disclaimer and Limitation of Liability
- Disclaimer: The Product and Software are provided “as-is” without warranties of any kind, express or implied.
- Limitation of Liability: We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Product or Software. Our liability is limited to the cost of the Product or ten US dollars ($10), whichever is less.
Privacy Practices
Your use of the Product and Software may involve the collection and use of your information. Our Privacy Policy, which is part of these Terms, outlines how we handle your data. We encourage you to review it periodically.
Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your breach of these Terms or your use of the Product and Software.
Updates and Changes
We may modify or discontinue features of the Product and Software at any time without notice. Your continued use of the Product and Software after any changes constitutes your acceptance of the new Terms.
Termination
We may terminate your access to the Product and Software at any time, with or without cause and notice. Upon termination, all licenses granted to you will cease immediately.
General Provisions
- Entire Agreement: These Terms constitute the entire agreement between the parties.
- Governing Law: These Terms are governed by the laws of the State of Israel. The courts in Tel Aviv, Israel, have exclusive jurisdiction over any disputes.
- Severability: If any provision is deemed invalid, the remaining provisions will continue in effect.
- Force Majeure: We are not liable for failures due to causes beyond our control.
- Assignment: We may assign our rights under these Terms at our discretion.
